These Terms and Conditions (“Terms”) govern the use of our website [www.petproexpo.co.uk] (the “Website”) and the purchase of tickets or services for our events.

These Terms apply only to business customers. By placing an order, you confirm that you are acting in the course of business and not as a consumer.

    Culpeo Limited is a UK-registered company and the organiser of [The Pet Pro Expo], operated on an annual basis.

  2. Business customers only
    1. Our events, tickets, and services are offered exclusively to businesses.
    2. By using the Website or placing an order, you confirm that:
      1. You are acting on behalf of a business
      2. You have authority to bind that business
      3. Consumer protection laws do not apply

  3. Orders and contract formation
    1. All orders are subject to availability and acceptance by us.
    2. An order constitutes an offer to purchase. A legally binding contract is formed only when:
      1. Payment is received in full; or
      2. An invoice is issued and accepted by us (where payment terms apply)
    3. Order confirmations are issued by email.

  4. Pricing and VAT
    1. All prices are stated in GBP (£)
    2. VAT is charged where applicable and shown separately
    3. Prices may change at any time, but confirmed orders will not be affected

  5. Payment methods
    1. Card payments (Stripe)
      Card payments are processed securely via Stripe. We do not store payment card details.
    2. Klarna (business payment options)
      We may offer Klarna payment options, subject to approval by Klarna.
      1. When using Klarna:
        1. You enter into a separate agreement with Klarna
        2. Klarna’s terms and privacy policy apply
        3. Klarna may conduct credit checks
      2. Failure to pay Klarna on time may result in additional fees or enforcement action by Klarna.

    3. Payment terms and invoicing (B2B)
      1. Where payment terms are agreed:
        1. Culpeo Limited will issue an invoice
        2. Payment must be made in full by the due date stated on the invoice
        3. Late payment may result in:
          1. Suspension or cancellation of tickets
          2. Denial of access to the event
          3. Interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998
      2. We reserve the right to withdraw payment terms at any time.

  6. Cancellations, refunds, and substitutions
    1. Unless expressly agreed in writing:
      1. All tickets are non-refundable
      2. Failure to attend does not entitle you to a refund
    2. We may allow ticket substitutions at our discretion, provided notice is given in advance.

  7. Event changes or cancellation
    1. We reserve the right to:
      1. Change the event date, venue, speakers, or programme
      2. Deliver the event in an alternative format (e.g. virtual or hybrid)
      3. Cancel the event due to circumstances beyond our reasonable control
    2. Our liability is limited to the fees paid for the affected tickets.

  8. Attendance and conduct
    1. You must ensure that attendees:
      1. Comply with venue rules and health & safety requirements
      2. Behave professionally and lawfully
      3. We reserve the right to refuse entry or remove any attendee without refund where conduct is inappropriate.

  9. Intellectual property
    1. All intellectual property rights on the Website and event content belong to or are licensed to Culpeo Limited.
    2. No content may be copied, reproduced, or distributed without prior written permission.

  10. Photography and media
    1. Photography, video, and audio recording may take place during the event.
    2. By attending, you grant Culpeo Limited a perpetual, royalty-free licence to use such recordings for marketing, promotional, and commercial purposes.

  11. Limitation of liability
    1. Nothing in these Terms excludes liability for:
      1. Death or personal injury caused by negligence
      2. Fraud or fraudulent misrepresentation
    2. Subject to the above, Culpeo Limited shall not be liable for:
      1. Indirect or consequential losses
      2. Loss of profit, business, or data
      3. Costs incurred by your organisation
    3. Our total liability is limited to the total fees paid for the relevant order.

  12. Data protection
    1. Personal data is processed in accordance with our Privacy Policy and Cookie Policy, which form part of these Terms.

  13. Third-party services
    1. Payments may be processed by Stripe or Klarna. Their terms and policies apply separately.
    2. We are not responsible for third-party services or websites linked from the Website.

  14. Governing law and jurisdiction
    1. These Terms are governed by the laws of England and Wales.
    2. The courts of England and Wales shall have exclusive jurisdiction over any disputes.
